Corporate Governance

Corporate governance is the way a corporation functions internally. It involves the corporation's Board of Directors, officers, employees and other stakeholders. Corporate governance has become a hot topic in recent years due to the rampant corruption revealed within large corporations, such as Enron and Tyco. CEOs and other officers can no longer use the excuse that they cannot be held responsible for fraudulent activities that occur within their company!

Public outcry over the actions of these once-trusted corporations led lawmakers to enact the Sarbanes-Oxley Act of 2002 (Public Company Accounting Reform and Investor Protection Act of 2002), which is commonly referred to as SOx. The law was a major reform of how publicly held businesses operate from within. The Sarbanes-Oxley Act requires greater public oversight of accounting practices, greater standards for independent auditors, whistleblower protection and more. The Sarbanes-Oxley Act now holds Boards of Directors and management legally responsible for fraudulent activities, as well as requiring that senior executives take individual responsibility for the content and accuracy of the corporation’s financial data.

Corporate governance is not to be taken lightly, and the Act ensures that even a single corrupt officer could result in a legal crisis for an entire corporation.
