Independent Special Committees

Independent Special Committees fall under the umbrella of a corporation. The Independent Special Committees are a special subset of corporate governance, in that they have a major impact on how a corporation conducts business. Committees are designed to ensure that corporations do not engage in self dealing and other conflicts of interest. Their duties are to evaluate and make decisions on a completely objective and independent basis.

In order to operate impartially, yet objectively, an Independent Special Committee must not be under the influence of any of the board members, managers, employees, or any other stakeholder of a corporation. Knowledge of wrongdoing within a publicly held corporation may result in an investigation and possibly litigation.
